Terms of Service

These Terms of Service ("Terms") govern your access to and use of Quaynt's AI search monitoring platform and services ("Services"), provided by Subbliss UG (haftungsbeschränkt). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use our Services.

1. Acceptance of Terms

By creating an account, accessing our website, or using any of our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy. These Terms constitute a legally binding agreement between you and Subbliss UG (haftungsbeschränkt). If you are using our Services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Description of Services

Quaynt provides AI search monitoring and optimization services that allow you to:

• Track your brand's visibility across AI search platforms including ChatGPT, Perplexity, Google SGE, and others
• Access analytics and competitive benchmarking data
• Monitor AI-generated responses and citations related to your brand
• Generate reports and insights about your AI search presence
• Optionally engage with our consulting services for managed optimization

3. User Accounts and Responsibilities

To use certain features of our Services, you must create an account. You are responsible for:

• Providing accurate, current, and complete information during registration
• Maintaining the security and confidentiality of your account credentials
• Keeping your password confidential and not sharing it with others
• Notifying us immediately of any unauthorized access or security breach
• All activities that occur under your account, whether authorized or not

4. Acceptable Use Policy

You agree not to use our Services to:

• Engage in any illegal, fraudulent, or harmful activities
• Harass, abuse, threaten, or harm others
• Interfere with or disrupt the integrity or performance of our Services
• Attempt to gain unauthorized access to our systems or other users' accounts
• Impersonate any person or entity, or falsely state or misrepresent your affiliation
• Upload or transmit viruses, malware, or other malicious code
• Send spam, unsolicited messages, or engage in phishing activities
• Use automated systems to scrape, data mine, or extract data without permission

5. Intellectual Property Rights

All content, features, functionality, software, designs, text, graphics, logos, and trademarks associated with our Services are owned by Subbliss UG (haftungsbeschränkt) or our licensors and are protected by intellectual property laws. Our Services and all related intellectual property rights remain our exclusive property.

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use our Services for your internal business purposes. This license does not include any right to resell, redistribute, or create derivative works from our Services.

You retain ownership of any data, content, or information you provide through our Services ("User Content"). By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, process, and display your User Content solely to provide our Services to you.

6. Payment Terms

Access to certain features of our Services requires payment of fees. All fees are stated in the currency specified at the time of purchase and are exclusive of applicable taxes unless otherwise stated.

By providing payment information, you authorize us to charge your chosen payment method for all fees incurred. Subscriptions automatically renew unless cancelled before the renewal date. You are responsible for maintaining valid payment information.

Fees are generally non-refundable except as required by law or as expressly stated in your service agreement. If you believe you have been incorrectly charged, please contact us at legal@quaynt.com within 30 days.

We reserve the right to modify our pricing with 30 days' notice to existing customers. Continued use of our Services after a price change constitutes acceptance of the new pricing.

7. Service Availability and Modifications

While we strive to maintain high availability, we do not guarantee that our Services will be uninterrupted, timely, secure, or error-free. Service availability may be affected by factors beyond our control, including third-party service interruptions.

We may perform scheduled or emergency maintenance that temporarily limits access to our Services. We will provide advance notice of scheduled maintenance when possible.

We reserve the right to modify, suspend, or discontinue any aspect of our Services at any time, with or without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation of our Services.

8. Data and Privacy

Your use of our Services is also governed by our Privacy Policy, which explains how we collect, use, and protect your personal data in compliance with GDPR and other applicable data protection laws. By using our Services, you consent to our data practices as described in our Privacy Policy.

9. Limitation of Liability

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT OUR SERVICES WILL MEET YOUR REQUIREMENTS OR THAT THE OPERATION OF OUR SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SUBBLISS UG (HAFTUNGSBESCHRÄNKT) AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM: (A) YOUR USE OR INABILITY TO USE OUR SERVICES; (B) ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SERVERS OR ANY PERSONAL INFORMATION STORED THEREIN; (C) ANY INTERRUPTION OR CESSATION OF TRANSMISSION TO OR FROM OUR SERVICES; OR (D) ANY BUGS, VIRUSES, OR OTHER HARMFUL CODE THAT MAY BE TRANSMITTED THROUGH OUR SERVICES. OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR OUR SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify, defend, and hold harmless Subbliss UG (haftungsbeschränkt) and its officers, directors, employees, contractors, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from: (a) your use of our Services; (b) your violation of these Terms; (c) your violation of any rights of another party; or (d) your User Content.

11. Termination

You may terminate your account at any time by contacting us at legal@quaynt.com or through your account settings. Upon termination, your right to use our Services will immediately cease.

We reserve the right to suspend or terminate your account and access to our Services at any time, with or without cause, and with or without notice, including if we believe you have violated these Terms or engaged in fraudulent or illegal activity.

Upon termination, all licenses and rights granted to you under these Terms will immediately cease. We may delete your account and User Content, though we may retain certain information as required by law or for legitimate business purposes. Provisions that by their nature should survive termination (including payment obligations, intellectual property rights, disclaimers, and limitations of liability) will continue to apply.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of Germany, without regard to its conflict of law provisions. The United Nations Convention on Contracts for the International Sale of Goods does not apply to these Terms.

Any dispute arising out of or relating to these Terms or our Services shall be subject to the exclusive jurisdiction of the courts in Munich, Germany. However, we may seek injunctive or other equitable relief in any court of competent jurisdiction to protect our intellectual property rights.

13. Changes to These Terms

We may update these Terms from time to time to reflect changes in our Services, legal requirements, or business practices. We will notify you of material changes by email or through a prominent notice on our website at least 30 days before the changes take effect. Your continued use of our Services after the effective date of revised Terms constitutes acceptance of those changes. If you do not agree to the revised Terms, you must stop using our Services.

14. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions will continue in full force and effect. The invalid provision will be modified to the minimum extent necessary to make it valid and enforceable while preserving the original intent.

15. Entire Agreement

These Terms, together with our Privacy Policy and any additional terms you agree to when using specific features of our Services, constitute the entire agreement between you and Subbliss UG (haftungsbeschränkt) regarding your use of our Services and supersede any prior agreements, understandings, or representations.
